  • All fees are quoted in Chinese Yuan (CNY) unless otherwise specified
  • Payment is due within 30 days of invoice date
  • Late payments may incur additional charges
  • All applicable taxes are the responsibility of the client

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation shall survive the termination of any service agreement.

8. Limitation of Liability

To the maximum extent permitted by law:

  • LOUYI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
  • We do not guarantee uninterrupted or error-free service

9. Warranties and Disclaimers

Our services are provided on an as-is and as-available basis. While we strive to deliver high-quality services, we make no warranties, express or implied, regarding:

  • The accuracy or completeness of any information
  • The suitability of services for any particular purpose
  • The results that may be obtained from using our services

10. Indemnification

You agree to indemnify and hold harmless LOUYI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

11. Termination

We reserve the right to suspend or terminate your access to our services at any time for violation of these terms or for any other reason at our discretion. Upon termination, your right to use our services will immediately cease.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be submitted to the jurisdiction of the courts in Kunming, Yunnan Province, China.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any changes constitutes acceptance of the new terms.

14. Severability
